1. The agreement

These Terms of Service (the "Terms") are a binding agreement between you and IHGIZ Solutions FZ-LLC ("IHGIZ", "we", "us"), a free-zone limited liability company licensed by the Dubai Development Authority (Trade Licence No. 107946, Dubai Development Authority), registered for Corporate Tax with the UAE Federal Tax Authority (Corporate Tax Registration Number (TRN) 105567073900001, Federal Tax Authority), with its registered office at Office HD27A, First Floor, in5 Tech, Dubai Internet City, Dubai, United Arab Emirates.

They govern your use of the ihgiz.com website, the IHGIZ application, the IHGIZ bots and APIs (the "Service"). By creating an account, booking an appointment through the Service, messaging one of our channels, or otherwise using the Service, you accept these Terms and our Privacy Policy, which forms part of them. If you use the Service on behalf of a company, you confirm you have authority to bind it.

2. Eligibility and accounts

• You must be at least 18 years old and able to enter a binding contract.
• Accounts are created either by registering on the website, when registration is open, or by requesting an invitation. Invitation requests are reviewed and approved at our discretion; we may decline or delay a request without giving a reason.
• You must give accurate information and keep it current. You are responsible for everything done under your account and for keeping your password, API keys and connected channels secure. Tell us at once if you believe your account has been compromised.
• One person or business per account. Accounts may not be shared, sold or transferred without our written consent.

3. The Service

IHGIZ lets an organiser publish bookable schedules and lets contacts book, confirm, reschedule and cancel appointments through a web page, email, WhatsApp, Telegram, Messenger, Instagram or SMS, with reminders and calendar synchronisation. What each plan includes is set out on the pricing page and enforced by the Service.

Messages are delivered by third-party networks (Meta, Telegram, email and SMS providers). We make reasonable efforts to deliver every notification on the channel chosen and to fall back to email when a channel is unavailable, but we do not control those networks and cannot guarantee delivery, timing or the availability of any channel.

We may change, suspend or withdraw features, and we will give reasonable notice of changes that materially reduce what a paid plan includes.

4. Plans, fees and billing

• The Free plan is free. Paid plans are billed by subscription, monthly or annually in advance, at the prices shown on the pricing page at the time you subscribe. Prices are shown in United States dollars and UAE dirhams; you are charged in the currency Stripe selects for your location.
• Payment is taken by Stripe on its hosted checkout and customer-portal pages. We do not receive or store card details. By subscribing you authorise Stripe to charge your payment method at the start of each billing period until you cancel.
• IHGIZ Solutions FZ-LLC is registered for UAE Corporate Tax. It is not currently registered for Value Added Tax; prices are therefore quoted without VAT. If and when VAT registration becomes mandatory or is completed, VAT will be added at the applicable rate to customers to whom it applies, and a tax invoice will be issued.
• You may cancel at any time from Settings. Cancellation takes effect at the end of the current billing period; you keep the paid plan until then. Fees already paid are not refunded for a partial period. If you cancel within 14 days of your first payment on a plan, write to us and we will refund that first payment in full. Beyond that, refunds are made only where UAE consumer-protection law or our own error requires it.
• When a paid plan ends or lapses, nothing you created is deleted. Schedules beyond the new plan's limit are paused (unpublished) until you upgrade or choose which to keep; connected channels the new plan does not include stop sending but keep their configuration; contacts, appointments and messages are untouched. A notification that a paused channel would have carried is sent by email instead.
• If a payment fails, Stripe will retry it. Your plan continues during the retry period; if payment is not made, the subscription is cancelled and the account returns to the Free plan.
• The Pilot plan is granted at our discretion to early adopters and is not sold. We may amend what it includes with reasonable notice.
• We may change prices with at least 30 days' notice by email; the new price applies from your next billing period.

5. Your obligations as an organiser

When you add a contact, invite them, or send them a message through the Service, you are the controller of their personal data and you are responsible for complying with the UAE Personal Data Protection Law, the Telecommunications and Digital Government Regulatory Authority's rules on unsolicited electronic communications, the business and messaging policies of Meta (WhatsApp Business, Messenger, Instagram) and Telegram, and the terms of any SMS provider you connect. In particular you must:

• only add people who have asked to book with you, have booked with you, or have otherwise agreed to hear from you about appointments;
• not use the Service for marketing broadcasts, cold outreach or any unsolicited message;
• honour a contact's request to stop, on any channel, without delay;
• not collect through intake fields or messages any data you have no lawful basis to hold, and never sensitive data unless the law allows it and you protect it accordingly;
• hold any licence your own profession or business requires in the jurisdiction where you offer appointments (for example medical, legal, financial or educational services), and comply with the rules of that profession;
• use only channel accounts, numbers, bots and credentials that you own or are authorised to use.

You indemnify us against claims, fines and costs arising from a breach of this section.

6. Acceptable use

You must not use the Service, or allow it to be used, to:

• break any law of the United Arab Emirates or of the place where you or your contacts are, including Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrimes, the Penal Code, and laws on fraud, money laundering and consumer protection;
• send content that is defamatory, threatening, harassing, obscene, hateful, or contrary to public order or morals; that infringes intellectual property or privacy; or that impersonates any person or organisation;
• offer, arrange or promote gambling, unlicensed financial services, unlicensed medical or pharmaceutical services, or any regulated activity without the required licence;
• send spam, bulk or automated messages, or messages the recipient has not agreed to receive;
• probe, scan, overload or interfere with the Service or its providers; introduce malware; scrape data; or attempt to gain access to accounts, data or systems you are not authorised to use;
• circumvent plan limits, billing, rate limits, verification or any security measure;
• use the Service to build a competing product, or resell it without our written agreement.

7. Monitoring, enforcement and cooperation with authorities

Messages sent to the IHGIZ business number, the IHGIZ Telegram bot and the other platform channels are logged and may be reviewed by our staff. We may investigate any use of the Service that we reasonably believe breaches these Terms or the law, and we may remove content, pause schedules, disable channels, suspend or terminate accounts, and refuse service, with or without notice, to protect the Service, its users, third parties or ourselves.

IHGIZ complies fully with the laws of the United Arab Emirates. We cooperate with the Telecommunications and Digital Government Regulatory Authority, the UAE Data Office, the Federal Tax Authority, the Dubai Development Authority, Dubai Police, the courts and every other competent authority in preventing, detecting and investigating unlawful activity. Where the law requires or permits, we will preserve and disclose account, message and technical data in response to a lawful order or request, and we may do so without notifying you where notice is prohibited or would prejudice an investigation.

8. Your content and our intellectual property

You keep ownership of the content you put into the Service — your schedules, branding, messages and contact data. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display and process that content solely to operate, secure and improve the Service and to comply with the law, for as long as it is in the Service. You are responsible for having the rights to the content you provide.

The Service, its software, design, trade marks and documentation belong to IHGIZ and its licensors and are protected by UAE and international law. These Terms grant you a limited, revocable, non-transferable right to use the Service; they transfer no other right.

9. Third-party services

The Service works with third-party services you choose to connect — Google, Microsoft, Zoom, Meta, Telegram, SMS providers, Stripe. Your use of each is governed by its own terms. We are not responsible for a third-party service, its availability, or what it does with data you provide to it directly.

10. Warranties and disclaimers

The Service is provided "as is" and "as available", and during the early-access period it may contain defects and change without notice. To the fullest extent the law allows, we make no warranty, express or implied, about the Service, including that it will be uninterrupted, error-free, secure, or that any message will be delivered or any appointment kept. Nothing in these Terms limits rights that UAE consumer-protection law gives a consumer that cannot be excluded.

11. Limitation of liability

To the fullest extent the law allows, IHGIZ is not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill or data, arising from or in connection with the Service, whether in contract, tort or otherwise, even if advised of the possibility.

Our total liability to you for all claims arising in any twelve-month period is limited to the fees you paid us for the Service in that period, or AED 1,000 if you paid nothing.

These limits do not apply to liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or to any liability that UAE law does not allow to be limited.

12. Term and termination

• You may close your account at any time from Settings or by writing to us. Closing an account cancels any subscription at the end of the current period.
• We may suspend or terminate your account for breach of these Terms, for non-payment, where required by law, or if we discontinue the Service, giving notice where reasonable.
• Before deletion you may export your data from Settings. After termination we delete your data except what section 8 of the Privacy Policy requires us to keep.
• Sections 5, 7, 8, 10, 11, 13 and 14 survive termination.

13. Governing law and disputes

These Terms and any dispute arising from them or from the Service are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. The onshore courts of Dubai have exclusive jurisdiction, without prejudice to any mandatory consumer-protection provision that gives you the right to bring a claim where you live.

Before starting proceedings, you agree to try to resolve the dispute with us in good faith by writing to the address in section 15; we will respond within 30 days.

These Terms are written in English. Translations are provided for convenience only; the English text governs.

14. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and, for material changes, notify account holders by email at least 14 days before they take effect. If you do not accept a change you may close your account before the effective date; continuing to use the Service after it is acceptance.

Notices to you: the email address on your account. If any provision of these Terms is held invalid, the rest remain in force. Our failure to enforce a provision is not a waiver of it. These Terms, with the Privacy Policy and the pricing page, are the entire agreement between us about the Service.
